Ron Johnson

Ron Johnson has served as the Co-Founder, President and Chief Executive Officer of Legacy EJY and a member of its board of directors since June 2014. Previously, Ron Johnson served as the Chief Executive Officer of JCPenney Company, Inc. from November 2011 to April 2013, Senior Vice President of Retail at Apple Inc. from January 2000 to October 2011, and Vice President of Merchandising at Target Corporation from September 1984 to December 1999. He also serves as a Trustee of Stanford University and a member of the board of directors of Globality, Inc., Philz Coffee, Inc., Fish Six Restaurant Corp (d/b/a The Melt), Ermenegildo Zegna Holditalia SpA and other private companies. Ron Johnson holds a B.A. in Economics from Stanford University and a M.B.A. from Harvard Business School.

Fred Harman

Fred Harman has served as a member of the board of directors of Legacy EJY since October 2015. Fred Harman is currently the Managing Partner at Oak Investment Partners, a venture capital firm that invests in technology companies, having joined Oak Investment Partners as a General Partner in 1994. Fred Harman is also currently a member of the board of several other private technology companies. Prior to joining Oak Investment Partners, Fred Harman worked with Morgan Stanley’s Venture Capital Group where he was a General Partner. Prior to Morgan Stanley, Fred Harman worked in Business Development at Hughes Communications where he was involved in the formation of the predecessor to DirecTV. Fred Harman received an MBA from the Harvard Graduate School of Business and a BS and MS in Electrical Engineering from Stanford University.

Jonathan Mariner

Jonathan Mariner has served as Legacy EJY’s Chief Administrative and Chief People Officer and as a member of its board of directors since December 2020. Jonathan Mariner has also served as the founder and President of TaxDay LLC, a mobile residency tax tracking application, since April 2016. From March 2002 to May 2016, Jonathan Mariner served in executive leadership roles at Major League Baseball, including as Chief Investment Officer from January 2015 to May 2016 and as Executive Vice President and Chief Financial Officer from March 2002 to December 2014. Prior to that, he served as Executive Vice President and Chief Financial Officer of the Florida Marlins from February 1992 to December 2000. He serves on the board of directors of Rocket Companies, Inc., Tyson Foods Inc., McGraw-Hill Education, and various other private companies and organizations. Jonathan Mariner also served on the board of directors of Ultimate Software Group Inc. and FM Global Insurance, Inc. Jonathan Mariner holds a B.S. in Accounting from the University of Virginia and a M.B.A. from Harvard Business School; and is a former Certified Public Accountant.

Thomas Ricketts

Thomas Ricketts has served as MRAC’s co-Chairman and Director since October 2020. Thomas Ricketts has served as the Executive Chairman of the Chicago Cubs since 2009. He also serves as the Chairman of Incapital. Thomas Ricketts currently serves on the boards of Meijer, Inc., Choose Chicago, The Field Museum, The Executive’s Club of Chicago, and The Wood Family Foundation. He was also a founding Director of the Bond Dealers of America. Thomas Ricketts has also been a Director at Ameritrade and, subsequently, TD Ameritrade. Prior to starting Incapital, Thomas Ricketts worked at ABN AMRO Inc., The Chicago Corporation and Mesirow Financial. He was a market maker on the Chicago Board Options Exchange from 1988 through 1994. Thomas Ricketts has an MBA in Finance and an AB in Economics from the University of Chicago.

Denise Young Smith

Denise Young Smith has served as an Executive in Residence at Cornell Tech from January 2018 through May 2021, and concurrently at Colorado College from April 2018 to March 2019. From 1997 to December 2017, Denise Young Smith served in a variety of human resources leadership roles at Apple Inc., most recently as Vice President, Worldwide Talent and Human Resources from December 2014 to May 2017. From May 2017 to December 2017 she served as Apple’s first Vice President of Inclusion and Diversity. She also serves as a member of the board of directors of various non-profits and private companies. Denise Young Smith holds a BA from Grambling State University.

Salaam Coleman Smith

Salaam Coleman Smith has previously served as an Executive Vice President at The Walt Disney Company’s Disney ABC Television Group, from July 2014 to October 2016, overseeing Strategy and Programming for ABC Family and Freeform television channels. She served in a variety of senior executive roles at Comcast NBC Universal from 2003 to 2014, including as President of Style network from 2008 to 2013. Previously, Salaam Coleman Smith served as an executive at Viacom from 1993 to 2002, including serving as a senior executive within MTV Networks International Division and helping Nickelodeon’s global expansion in Europe, Asia, and Latin America. She has served as a member of the board of directors of Pinterest, Inc. since October 2020 and The Gap, Inc. since March 2021. Salaam Coleman Smith holds a B.S. in Industrial Engineering from Stanford University.

Brett Varsov

Brett Varsov has served as MRAC’s Co-Chief Executive Officer since October 2020 and has spent his career in the media and technology industries. Brett Varsov has been a Partner and Head of M&A at The Raine Group LLC (“Raine”) since January 2016, where he is responsible for the firm’s global Mergers and Acquisitions practice and works closely with all of the firm’s partners and sector heads on advisory and investing transactions across the firm’s businesses. Prior to this, he was a Managing Director at Raine from April 2012 to December 2015. At Raine, and during his career, Brett Varsov has initiated and executed mergers and acquisitions, strategic advisory assignments, investments and financing transactions for many of the world’s leading and emerging media and technology companies. He has also worked on multiple successful SPAC transactions as an advisor to and investor in target companies that have gone public via SPAC merger. Prior to joining Raine, he was in the Technology, Media and Telecom and Mergers and Acquisitions groups at Goldman Sachs where he focused on media and technology companies and worked on public and private M&A, initial public offerings and other strategic and financial advisory transactions. Prior to this, Brett Varsov worked in the Media and Telecom group at Citigroup within the Investment Banking division. Previously, he acted as director of business development for Digital Club Network (an early digital music venture), founded and published a regional newspaper, and worked in the marketing group of Miller Publishing. Brett Varsov is on the board of directors of Reigning Champs, a Raine portfolio company. He has a BA from the University of Pennsylvania and an MBA from Columbia Business School.

Gideon Yu

Gideon Yu has served as a member of the board of directors of Legacy EJY since 2017. Since 2011, Gideon Yu has served as the Co-Owner of the San Francisco 49ers. Previously, from 2007 to 2009, Gideon Yu was the Chief Financial Officer of Facebook, and from 2006 to 2007 Gideon Yu was the Chief Financial Officer of YouTube. Prior to his career in professional sports, from 2002 to 2006, Gideon Yu was also the Treasurer and Senior Vice President of Corporate Finance for Yahoo! Inc. Gideon Yu earned his BS in Industrial Engineering and Engineering Management from Stanford University, and his MBA from Harvard Business School.

Alan Carr

Mr. Carr, 52, is and has been since September 2013 the Managing Member and Chief Executive Officer of Drivetrain, LLC, an independent fiduciary services firm. He has been a distressed investing and turnaround professional, with 25 years of experience in principal investing, advisory mandates, and board of directors’service, including complex financial restructurings and reorganizations in the U.S and Europe. From 2003 to 2013, Mr. Carr was Managing Director at Strategic Value Partners, a global investment firm focused on distressed debt and private equity opportunities. Mr. Carr started his career at Skadden, Arps, Slate, Meagher & Flom LLP and Ravin, Sarasohn, Baumgarten, Fisch & Rosen in corporate restructuring advisory. Mr. Carr currently serves as a director for the following public companies: Sears Holdings Corporation (since October 2018); Unit Corporation (since September 2020) and NewLake Capital Partners (since August 2019). Mr. Carr serves as Chair of the compensation committee for both NewLake Capital Partners and Unit Corporation and as a member of the audit committee for NewLake Capital Partners. He also serves as a member of the restructuring committee for Sears Holding Corporation. Mr. Carr received a B.A. in Economics and Sociology from Brandeis University in 1992 and a J.D. from Tulane Law School in 1995. The Board believes Mr. Carr’s experience in complex financial restructurings and reorganizations and his extensive experience serving on the boards of private and public companies qualifies him to serve on the Board.

William Transier

Mr. Transier, 67, is Chief Executive Officer of Transier Advisors, LLC, an independent advisory firm providing services to companies facing stressed operational situations, turnaround, restructuring or in need of interim executive leadership. Mr. Transier was co-founder of Endeavour International Corporation (“Endeavour”), an international oil and gas exploration and production company. He served as non-executive Chairman of Endeavour’s board of directors from December 2014 until November 2015. He served from September 2006 until December 2014 as Chairman, Chief Executive Officer and President of Endeavour and as its Chairman and Co-Chief Executive Officer from its formation in February 2004 through September 2006. Prior to Endeavour, Mr. Transier served as Executive Vice President and Chief Financial Officer of Ocean Energy, Inc. (“Ocean”) and its predecessor, Seagull Energy Corporation from May 1996 to April 2003. Before his tenure with Ocean, Mr. Transier served in various roles including partner in the audit department and head of the Global Energy practice of KPMG LLP from June 1986 to April 1996. Mr. Transier has served on the board of Exela Technologies, Inc., since April 2020, where he serves as Chairman of the audit committee and as member of the strategic transactions committee. Mr. Transier has also served as a director of Helix Energy Solutions Group, Inc. since October 2000, and as lead independent director from March 2016 through July 2017 when he was appointed Chairman of the board. Mr. Transier served as the Chairman of the board of directors of Battalion Oil Corporation (which changed its name from Halcón Resources Corporation) and as Chairman of its audit committee from October 2019 until May 2021. Mr. Transier graduated from the University of Texas with a B.B.A. in accounting, has an M.B.A. from Regis University and a Master of Arts in Theological Studies from Dallas Baptist University. The Board believes that Mr. Transier’s restructuring expertise and extensive management experience and knowledge in audit and accounting matters qualifies him to serve as a member of the Board.
